Business terms and conditions

1. General

    1.1 These Terms and Conditions will apply to the purchase of the goods detailed in our quotation (Goods) by the buyer (you) from C Supplies Ltd (trading as Trade Goods) in England and Wales under number 1889581 whose registered office is at 5 Trent Court, Trent, DT9 4AY (we or us).

    1.2 These Terms and Conditions will be deemed to have been accepted by you when you accept them or the quotation or from the date of any delivery of the Goods (whichever happens earlier) and will constitute the entire agreement between us and you.

    1.3 These Terms and Conditions and the quotation (together, the Contract) apply to the purchase and sale of any Goods between us and you, to the exclusion of any other terms that you try to impose or incorporate, or which are implied by trade, custom, practice, or course of dealing.

    2. Orders – Forming a contract with us

    2.1 When you place an order with us, you are making an offer to buy goods. An order confirmation will be sent to you once your order is processed, confirming a contract has been formed between us. If there are any errors on your email confirmation you must inform us as soon as possible.

    2.2 All orders are subject to acceptance. All details supplied to C Supplies Ltd must be true and accurate.

    2.3 If there are any problems with your order, we will endeavour to contact you as soon as possible.

    2.4 All images displayed on the website are indications of the product. Please note that some items may have small variations in size and colour.

    3. Errors

    3.1 In the event that any product is displayed with an inaccurate price we have the right to withdraw the offer and cancel the order prior to a binding contract being formed (please see section 2.1 for order contract information).

    3.2 Any errors that have been made in the description of our products will be rectified as soon as possible.

    4. Price and Payment

    4.1 Prices displayed on our website are Exclusive of VAT, tax will be added on at checkout. Most of the products have the UK standard rate of 20%, except for car seats that have reduced VAT rate 5%. The tax amount will be calculated at checkout.

    4.2 For Cash orders, the total price payable, for all items ordered, will be debited from the account provided, at the time that the order is placed once a contract has been formed (see section 2.1 for order contract information).

    4.3 We can only accept payments from U.K registered accounts.

    4.4 We accept most major credit/debit cards including Visa, MasterCard, Amex, Google Pay, PayPal etc. and we use a secure payment method.

    4.5 You must confirm that the credit or debit card being used is registered to you in order to purchase product(s) on our website or over the telephone.

    4.6 All billing information given must match the billing information held by the card issuer i.e your bank/building society. Failure to supply the correct information may lead to a delay or cancellation of your order. Your order will only be processed once the payment has been authorised.

    4.7 All credit/debit card holders are subject to validation checks and authorisation by the card issuer and the merchant bank. If the issuer of your payment card refuses to or does not, for any reason, authorise payment to us, without prejudice to clause 12, we shall be permitted to cancel our contract with you.

    4.8 C Supplies Ltd does not store credit card details.

    4.9 For orders on credit (available only to Credit Account holders) the total price payable for all items ordered will be chargeable and a VAT invoice sent to you once goods despatched or delivered.

    4.10 All invoices are sent out to the email address provided on your account once the goods are despatched or delivered, and due for payment within the terms of your account. The payment terms are usually 30 days from invoice date and our bank details are available on each invoice. 

    5. Availability of Goods

    5.1 All products and services are subject to availability and may be withdrawn at any time.

    5.2 Any goods that we are unable to supply will be refunded in full or the monies can be used for an alternative product.

    5.3 Any items that are not in stock have a lead time. This lead time is an estimated time, in days, supplied to us by the manufacturer of the goods. The manufacturer aims to supply us with the goods within this time; however, this is not always possible. Where there are delays, we will aim to notify you as soon as we are notified of the said delay.

    6. Made to measure items

    6.1 These are goods that are not stock items and are made to your specific requirements, e.g., special sizes or items that are made to non-standard specifications. It is important that you are happy with the items that you are purchasing as they are non-returnable and non-refundable (unless they are faulty or misdescribed).

    6.2 Once the items have been made and/or dispatched to us you will then be unable to cancel this order and will not be entitled to any refund (unless the product has a manufacturing fault or was misdescribed).

    7. Deliveries (next day service is subject to availability and terms)

    7.1 We deliver nationally across the England and Wales and hold high levels of stock in several regional warehouses. Many lines are on next day delivery, with larger items coming straight from the manufacturers within a few days.

    7.2 Whilst they aim to deliver your goods within 7-14 working days, we cannot guarantee this. C Supplies Ltd are unable to cover any loss of earnings, loss of profits, loss of sales or business, loss of agreements or contracts, loss of anticipated savings, loss of or damage to goodwill, loss of use or any indirect or consequential loss for these occasions but will do our best to get your goods to you as soon as possible.

    7.3 Please note that the goods will be dispatched after an order confirmation email has been sent to you. To ensure you receive your products as quickly as possible your order may arrive in separate deliveries. Where order tracking is available, a link will be sent in a text message once the item has been dispatched. 

    7.4 For Large appliances, once you have placed your order, you will be contacted to advise the available dates for delivery and arrange a suitable day for you. This is an all-day service, but the carrier will send an SMS text message (where a mobile number is provided) to advise you of the time slot, AM or PM.

    7.5 The delivery team will deliver the item(s) to the first accessible ground floor door of the premises.

    7.6 With larger items the driver may require some assistance to offload the items.

    7.7 Please check your items to ensure that they appear intact before signing for them.

    7.8 Notifications of claims – if your goods are damaged when you receive them, please note this on the delivery sheet and refuse the item. Please contact Customer Services who will be happy to rectify this problem as soon as possible.

    7.9 If you do sign for goods and later discover them to be damaged, please contact Customer Services as soon as possible. Please be aware that we may require photographic evidence of the damage before action can be taken.

    7.10 Shortages – it is your responsibility to sign for the correct number of packages shown on the delivery sheet. Please note any shortages and contact Customer Services. Please refuse any incorrect items and mark the delivery sheet as incorrect items. Please contact Customer Services thereafter.

    7.11 Please ensure that the premises are directly accessible for a vehicle for your delivery. If there is no direct access for our delivery drivers, or the access is restricted for parking, the delivery may not be carried out and you will be responsible for the associated carriage charges.

    7.12 C Supplies Ltd cannot cover any losses arising from incomplete or damaged deliveries.

    7.13 If the delivery details/ shipping address has been provided to us incorrectly, we will do our best to get your items to you as soon as possible, once the correct information has been updated.

    7.14 Please note that we cannot be held responsible for any losses arising from a late or failed delivery.

    8. Amending deliveries

    8.1 Any amendments to date/addresses before the item has been despatched from us will not incur any charges.

    8.2 Amendments to date/addresses after the items have been dispatched from us but before the delivery has been made may incur an additional fee (this may affect the delivery date).

    8.3 Amendments to date/addresses after a delivery attempt has been made may incur a re-delivery fee (this may affect the delivery date).

    8.4 Failed delivery attempts, due to customer supplying incorrect information may incur a re-delivery fee for subsequent redelivery attempts (not guaranteed to be on the same day).

    9. Cancellation/Returns

    9.1 In general we do not accept the return of unwanted or change of mind goods.

    9.2 Other than by agreement, we will only accept returned goods if they are defective or damaged upon delivery and if required, we have carried out an inspection.

    9.3 Subject to your compliance with this clause and/or our agreement, the goods may be returned and we will, as appropriate, repair, or replace, or refund the goods or part of them.

    9.4 We will be under no liability or further obligation in relation to the goods if:

    • you fail to provide notice as set above; and/or
    • you make any further use of such Goods after giving notice under the clause above relating to damages and shortages; and/or
    • the defect arises because you did not follow instructions about the storage, installation, use and maintenance of the goods; and/or
    • the defect arises from normal wear and tear of the goods; and/or
    • the defect arises from misuse or alteration of the goods, negligence, wilful damage or any other act by you, your employees or any third parties.

    9.5 Should you wish to cancel your order or return your goods due to a manufacturing fault, once the fault has been confirmed by the manufacturer, we will be happy to carry the associated carriage costs and make the necessary arrangements. However, we reserve the right to decide whether a small fault is repairable and therefore does not warrant a faulty return. The manufacturers decision on a fault is final.

    9.6 Providing the goods are returned complete with all accessories (including any free gifts supplies) you will receive a full refund or credit. We are unable to accept back unwanted gifts or non-faulty items unless authorised by Customer Services and after final inspection. If items are returned missing original factory packed accessories you will be charged for their replacement. If the items arrive with items missing, we reserve the right to make a change this will be discussed on a case-by-case basis with customer services. 

    10.  Faulty Items

    10.1 Faulty items can be returned within 30 days of delivery if the product is deemed to have a manufacturing fault. 

    10.2 If a product develops a fault after 30 days of purchase, you may be asked to contact manufacturers directly to discuss further. 

    10.3 The warranty is covered by the manufacturer and for the most efficient service it is best to contact them directly. The contact information should be in the manual you have received for the product or found online. If you cannot find the information, please contact us and we can help you. The manufacturer will often need proof of purchase and the serial number from the item – often found on a sticker on the product.

    11. Limitation of liability

    11.1 Our liability under the Contract, and in breach of statutory duty, and in short, misrepresentation or otherwise will be limited to this clause.

    11.2 If we do not deliver the Goods, our liability is limited, subject to the clause below, to the costs and expenses incurred by you in obtaining replacement goods of similar description and quality in the cheapest market available, less the price of the Goods.

    11.3 Our total liability will not, in any circumstances, exceed the total amount of the Price payable by you.

    11.4 We will not be liable (whether caused by our employees, agents or otherwise) in connection with the Goods, for.

    • any indirect, special, or consequential loss, damage, costs, or expenses; and/or
    • any loss of profits; loss of anticipated profits; loss of business; loss of data; loss of reputation or goodwill; business interruption; or, other third party claims; and/or
    • any failure to perform any of our obligations if such delay or failure is due to any cause beyond our reasonable control; and/or
    • any losses caused directly or indirectly by any failure or breach by you in relation to your obligations; and/or
    • any loss relating to the choice of the Goods and how they will meet your purpose or the use by you of the Goods supplied.

    11.5 The exclusions of liability contained within this clause will not exclude or limit our liability for death or personal injury caused by our negligence; or for any matter for which it would be illegal for us to exclude or limit our liability; and for fraud or fraudulent misrepresentation.

    12. Circumstances beyond the control of either party

    12.1 Neither party shall be liable for any failure or delay in performing their obligations where such failure or delay results from any cause that is beyond the reasonable control of that party. Such causes include but are not limited to; power failure, internet service provider failure, industrial action, civil unrest, fire, flood, storms, earthquakes, acts of terrorism, acts of war, governmental action or any other event that is beyond the control of the party in question.
